RUN-LLP: Complete Guide to Reserve Unique Name for LLP
RUN-LLP (Reserve Unique Name – LLP) is the web-based facility for applying for name reservation of a Limited Liability Partnership. It is governed by the Limited Liability Partnership Rules, 2009.
When an applicant needs a name reserved for a new LLP to be incorporated, or for conversion of a firm/private company/unlisted public company into an LLP, the applicant applies via RUN-LLP. Once approved, the applicant must apply for incorporation before the reserved name expires — 3 months from the date of approval. An existing LLP can also use RUN-LLP to reserve and change its name within the same 3-month validity window.
Who Should File RUN-LLP / When is it Filed
Anyone proposing to incorporate a new LLP, convert a partnership firm or private/unlisted public company into an LLP, or an existing LLP wishing to change its name, must first reserve the proposed name via RUN-LLP. The reserved name must be taken up — via Form FiLLiP (incorporation) or LLP Form No. 5 (change of name) — before it expires.
Important Checkpoints Before Filing
