LLP Form No. 5 is the web form used by an existing LLP to file an application for change of name with the Registrar of Companies (RoC). Before filing Form 5, the LLP is required to have a name reserved through the RUN-LLP service.


Who Should File LLP Form No. 5 / When is it Filed

Any existing LLP wishing to change its name must first reserve the new name via RUN-LLP, then file LLP Form No. 5 within 30 days from the date on which the consent of partners was taken under sub-rule (1) of Rule 20.

  7. Upload the DSC-affixed PDF on MCA portal

  • Attachments are accepted in PDF or JPG/JPEG format, up to 2MB each
  • Consent of Partners — mandatory if ‘With consent of all partners’ is selected in field 4
  • Copy of the minutes of decision/resolution/consent of partners — mandatory if ‘Based on the procedure laid down in the LLP agreement’ is selected in field 4
  • Copy of the direction received — mandatory if the change of name is pursuant to a direction
  • Up to five optional attachments for any additional information

Signing Requirements

  • Digitally signed by a Designated Partner of the LLP, using a valid DIN/DPIN
  • Certification by a Chartered Accountant (in whole-time practice), Cost Accountant (in whole-time practice), or Company Secretary (in whole-time practice), who digitally signs the webform and provides their membership number or certificate of practice number
