LLP Form No. 22 is the web form through which a Limited Liability Partnership (LLP) or Foreign LLP (FLLP) intimates the Registrar of an order passed by a Court, Tribunal, Central Government, or any other competent authority concerning the LLP/FLLP.
Who Should File LLP Form No. 22 / When is it Filed
Any LLP or FLLP that has received an order from a Court, Tribunal, NCLT, NCLAT, Central Government, or any other competent authority must file LLP Form No. 22 by the due date by which the order is to be filed with the Registrar, as mentioned in field 9 of the form.
Important Checkpoints Before Filing
- Applicant must be registered as a Business User on the MCA portal before filing
- The LLP/FLLP must be registered with MCA and hold a valid, approved LLPIN/FLLPIN
- The DSC attached must be associated with the LLP/FLLP for which the form is filed (not applicable for interim resolution professionals/resolution professionals/liquidators/LLP administrators)
- The DSC must be registered on the MCA portal against the PAN/DPIN/Membership number provided
- The DPIN provided must not be flagged for disqualification of the Designated Partner
- For Compromise/Arrangement or Reconstruction/Amalgamation of the LLP, the LLP’s status must be ‘Active’
- On resubmission, the application remains available in the application history, and T+30 days (T being the date marked ‘Resubmission Required’) must not have elapsed
Step-by-Step Filing Process
- Access the MCA portal and login with valid credentials
- Access LLP Form No. 22
- Fill up the application, entering the due date by which the order is to be filed with the Registrar (field 9)
- Attach the mandatory copy of the order
- Submit the webform and note the SRN
- Affix the DSC
- Upload the DSC-affixed PDF on MCA portal
- Pay Fees
