LLP Form No. 15: Complete Guide to Change of Registered Office of an LLP
LLP Form No. 15 is the web form through which a Limited Liability Partnership files notice of a change in its registered office address with the Registrar of Companies (RoC).
The LLP must file Form 15 within 30 days of complying with the requirements of sub-rule (1) of Rule 17 of the LLP Act, 2008, for a change of registered office within the same state, and within 30 days of complying with sub-rule (4) of Rule 17 for a change of registered office from one state to another.
Who Should File LLP Form No. 15 / When is it Filed
Any LLP changing its registered office address — whether within the same city/town/village, within the same state, or to a different state — must file LLP Form No. 15 within 30 days of complying with the applicable requirement of Rule 17.
Important Checkpoints Before Filing
- Applicant must be registered as a Business User on the MCA portal before filing
- The LLP must be registered with MCA and hold a valid LLPIN
- The DSC attached must be associated with the LLP for which the form is filed, and registered on the MCA portal against the DPIN/Membership number provided
- The signing authority must hold a valid, non-expired, non-revoked DSC or valid DPIN/PAN
- On resubmission, the application remains available in the application history, and T+30 days (T being the date marked ‘Resubmission Required’) must not have elapsed
Step-by-Step Filing Process
- Comply with the applicable requirement of Rule 17 (sub-rule 1 for same-state change; sub-rule 4 for inter-state change)
- Access the MCA portal and login with valid credentials
- Access LLP Form No. 15
- Select the type of change (within same city/town/village, within state, or inter-state) and fill up the application
- Submit the webform and note the SRN
- Affix the DSC
- Upload the DSC-affixed PDF on MCA portal
- Pay Fees

- Proof of Registered Office address (conveyance/lease deed/rent agreement, along with rent receipts) — mandatory
