LLP Form No. 12 is the web form through which an LLP may, in addition to its registered office address, declare any other address as its address for service of documents to the Registrar of Companies (RoC). It is governed by the Limited Liability Partnership Rules, 2009.


Who Should File LLP Form No. 12 / When is it Filed

Any LLP wishing to designate an address other than its registered office as the address for service of documents must file LLP Form No. 12 within T+29 days, where T is the date on which the consent of all partners was taken under sub-rule (2) of Rule 16.


Important Checkpoints Before Filing

  • Applicant must be registered as a Business User on the MCA portal before filing
  • The LLP must be registered with MCA and hold a valid LLPIN
  • The DSC attached must be associated with the LLP for which the form is filed, and registered on the MCA portal against the DPIN/Membership number provided
  • The signing authority must hold a valid, non-expired, non-revoked DSC or valid DPIN/DIN/PAN
  • The other address entered must fall within the jurisdiction of the same RoC where the LLP is registered

  1. Access the MCA portal and login with valid credentials
  2. Access LLP Form No. 12
  3. Fill up the application with the proposed address for service of documents
  4. Submit the webform and note the SRN
  5. Affix the DSC
  6. Upload the DSC-affixed PDF on MCA portal
  7. Pay Fees

Mandatory Attachments

  • Attachments are accepted in PDF or JPG/JPEG format, up to 2MB each
  • Copy of the minutes of decision/resolution/consent of requisite partners — mandatory if ‘Based on the procedure laid down in the LLP agreement’ is selected for ‘Whether change in address is’ (field 5a)

  • Digitally signed by a Designated Partner of the LLP, using a valid DPIN/DIN/PAN

Processing Mode

LLP Form No. 12 is processed in STP mode — taken on record electronically without further processing at the Registrar’s office. There is no provision for resubmission.
