Form FiLLiP: Complete Guide to LLP Name Reservation and Incorporation
Form FiLLiP (Form for Incorporation of Limited Liability Partnership) is the integrated web form used to incorporate an LLP and register it with the Registrar of Companies (RoC). It is governed by Rules 8, 10, 11 and 18 of the Limited Liability Partnership Rules, 2009.
Through a single filing, FiLLiP enables: application for reservation of name; application for allotment of Designated Partner Identification Number (DPIN); application for issuance of the LLP Identification Number (LLPIN)/registration of the LLP; consent by a designated partner; conversion of a partnership firm into an LLP; conversion of a private/unlisted public company into an LLP; and application for PAN/TAN allocation. Once processed, the LLP is registered, PAN/TAN and LLPIN are allotted, and DINs/DPINs are issued to proposed designated partners who do not already hold one.
Who Should File Form FiLLiP / When is it Filed
Any person(s) proposing to incorporate a new LLP, or convert an existing partnership firm or private/unlisted public company into an LLP, must file Form FiLLiP after first reserving a name via RUN-LLP.
Important Checkpoints Before Filing
- Applicant must be registered on the MCA portal before filing
- A minimum of two designated partners is required (including a nominee of a body corporate acting as DP), and at least one must be a resident of India
- A maximum of five designated partners may apply for DIN/DPIN through this integrated form; details of up to 500 partners/designated partners can be filed, with any excess furnished as an optional Excel attachment
- The DSC attached must be registered on the MCA portal against the DIN/DPIN/PAN/Membership number provided, and must be valid, non-expired, and non-revoked
- The SRN of RUN-LLP quoted must be valid and approved, with no other FiLLiP form pending or approved against it, and the reserved name must not have expired or been withdrawn
- If a country outside India is selected in the ‘Country’ field, ‘0000’ may be entered for PIN/ZIP code and ‘NA’ for State
- Form 9 (consent of designated partners without a DPIN) may be filed as a PDF attachment, or via linked filing for designated partners who already hold a DPIN
- If ‘Type of incorporation’ is “Conversion of Firm into LLP”, LLP Form No. 17 must be filed together with FiLLiP as a linked form
- If ‘Type of incorporation’ is “Conversion of Private company/unlisted public company into LLP”, LLP Form No. 18 must be filed together with FiLLiP as a linked form
- On resubmission, the option selected for ‘Whether name is already approved by Registrar of Companies’ in the original form must remain unchanged
- Where an SRN of RUN-LLP is quoted, the user ID filing FiLLiP must be the same user ID that applied for name reservation
- Fresh filing of another FiLLiP against the same RUN-LLP SRN is not allowed while a resubmission is pending against that SRN
- On resubmission, the original FiLLiP application (with linked forms) remains available in the application history, and T+30 days (T being the date marked ‘Resubmission Required’) must not have elapsed
Additional checkpoints for conversion cases:
- The company being converted must be a private company or unlisted public company
- No open form work items, forms pending payment/processing, unsatisfied charges, or pending updation requests (master data, charge updation, etc.) against the company
- No pending inspection/investigation/prosecution against the company (except where an inspection follow-up has been initiated)
- The company must not be marked as having a management dispute, and must not be a Section 8 company
Step-by-Step Filing Process
- Reserve the proposed LLP name via RUN-LLP and note the SRN
- Access the MCA portal and login with valid credentials
- Access Form FiLLiP
- Fill up the application: name reservation/RUN-LLP SRN, designated partner details, registered office, and — where applicable — Form 9 (consent) and linked Form 17/18 for conversions
- Save the webform as a draft (optional)
- Submit the webform and note the SRN
- Affix the DSC
- Upload the DSC-affixed PDF on MCA portal (the SRN is cancelled if this is not completed within 15 days of SRN generation, or payment is not completed within 7 days of upload or the due date + 2 days, whichever is earlier)
- Pay Fees
- On successful processing, the LLP is registered; PAN/TAN and LLPIN are allotted, and DIN/DPIN certificates and the Certificate of Incorporation/Registration on Conversion are emailed to the FO user, LLP, and designated partners
Mandatory Attachments
- Attachments are accepted in PDF or JPG/JPEG format, generally up to 2MB each
- Consent of designated partners (Form 9), where not filed as a linked form
- Proof of registered office address and related supporting documents
- For conversions: documents evidencing the conversion of the firm/company into an LLP, as specified in the webform

- Digitally signed by the designated partners, using a DSC registered on the MCA portal against their DIN/DPIN/PAN/Membership number
