What is Form AOC-4?

Form AOC-4 is the e-filing form used to file Financial Statements and other documents with the Registrar of Companies (RoC) under the Companies Act, 2013. It is a mandatory annual compliance requirement for all registered companies.

Under MCA V3, this form has been restructured into an offline + web hybrid model — where basic information is captured online via a web form, and the detailed financial data is filled in a downloadable Excel utility.

After submitting the parent AOC-4 form, certain linked (child) forms become available based on the options selected. They must be submitted in the following sequence:

Step-by-Step Filing Process

Here is the complete end-to-end workflow:

Step 1  → Fill the Parent Web Form (AOC-4) with basic information
Step 2  → Click "Save and Submit"
Step 3  → Accordion/Panel for applicable linked forms gets enabled
Step 4  → Fill basic information of each linked form (AOC-1, AOC-2, AOC-4 CFS, CSR-2, etc.)
Step 5  → Click "Proceed" to submit the parent and linked web forms
Step 6  → Excel files are generated; "Download Excel" option appears
Step 7  → A ZIP file downloads containing Excel files for all applicable forms
Step 8  → Fill each Excel in offline mode (web form fields are pre-filled and non-editable)
Step 9  → Upload each filled Excel one by one
Step 10 → Validate: if errors exist, download the error .txt file, correct, and re-upload

Accessing the Form

To access Form AOC-4 Offline on the MCA portal:

  1. Go to MCA Services in the navigation menu
  2. Click on Company e-Filing
  3. Select Annual Filings
  4. Choose “Form AOC-4 — Form for filing Financial Statement and other documents — OFFLINE”

Section 6 — Auditor Details (Field 9)

  • Enter the SRN of Form ADT-1 and Number of Auditors.
  • Fields 9(a) to 9(e) auto-populate from master data or the ADT-1 SRN.
  • If pre-filled, fields are non-editable (except when SRN Z99999999 is entered for the first financial year).
  • Ensure the end date in AOC-4 falls within the financial year specified in ADT-1.
  • The latest ADT-1 SRN can be checked via “Check Annual Filing Status”.

  • If “Provisional un-adopted Financial Statements” is selected in 4(b)(i), linked CSR-2 filing is not enabled.
  • If “Not applicable” is selected, linked filing is not enabled.

Section 10 — Miscellaneous (Segment VI)

  • Field 1: Whether Secretarial Audit is applicable
  • Field 2: Whether secretarial audit report has qualifications/observations (mandatory if Field 1 = “Yes”)
  • Field 3: Number of observations
  • Click Submit → the web form for the next applicable linked form will appear.

Filling the Excel Offline Forms

After downloading the ZIP file, read all instructions in the “ReadMe” sheet before filling any data:

Part I — Balance Sheet

  • Fields are displayed only when “Yes” is selected in field 10(b) (Schedule III applicable).
  • Previous year figures are pre-filled if a valid filing exists for the immediately preceding FY.
  • If pre-filled previous year data is changed, provide reasons for such change.
  • Total Liabilities must equal Total Assets.
  • Zero is acceptable for non-applicable fields — do not leave blank.

Part II — Share Capital

Part III — Financial Parameters (Balance Sheet Items)

All fields in this section are mandatory. Zero is allowed if not applicable. Key items include:

  • Share application money, deposits, paid-up capital by foreign companies, inter-corporate borrowings, etc.

Part II — Statement of Profit & Loss (Segment II)

  • Displayed only when “Yes” is selected in 10(b).
  • Previous year data is pre-filled and editable.
  • EPS (Basic and Diluted) must match values in the Statement of Profit & Loss for the current period.
  • Income in foreign currency must match “Total Earning in Foreign Exchange” in the foreign exchange details section.
  • Expenditure in foreign currency must match “Total Expenditure in foreign exchange”.

Product/Service Details

  • Total number of product/service categories must be ≥ 1 if Domestic or Export turnover > 0.
  • If turnover is 0, enter 0 as the number of categories.

Secretarial Audit Details (Segment VI)

  • Observations entered must be unique.
  • Enter valid Membership Number and COP Number for the secretarial auditor.

Declaration

  • Declaration is mandatory.
  • Select appropriate designation: Director / Manager / Secretary / CEO / CFO / IRP / RP / Liquidator.
  • Enter valid DIN (for Directors) or PAN (for others).

Certificate by Practicing Professional

  • The form must be certified by a CA (whole-time practice), Cost Accountant (whole-time practice), or Company Secretary (whole-time practice).
  • Select the appropriate category and whether associate or fellow.
  • Enter Membership Number and Certificate of Practice Number.
  • Certification is NOT mandatory for Small Companies and OPCs.
  • Save the Excel and proceed to the next file in the ZIP.

Linked Form: Extract of Auditor’s Report (Standalone)

This form is mandatory for all companies filing AOC-4 or AOC-4 NBFC.

Uploading Excel Files

After filling all Excel files, upload them in the order they appear on screen:

When the first Excel is successfully validated, the “Choose File” button for the next form gets enabled automatically.

Handling Validation Errors

If an Excel file fails validation:

  1. An error message appears with a link to download an error file.
  2. Click the link → a .txt file downloads with a list of errors.
  3. Open the file, read each error, correct in the Excel, and re-upload.

Example error:

Encountered errors while data enrichment, please correct the errors and resubmit.
1. Entered Director DIN 08311991 is invalid, please provide a valid DIN number.

After Submission — DSC, PDF Download, and Payment

Once all Excel files are uploaded and validated:

  1. Click “Proceed” on the Excel Upload section.

  2. Attach all mandatory documents (financial statements, auditor’s report, secretarial audit report, etc.) in the Attachments section.

  3. Click “Submit” → a confirmation pop-up with an SRN number appears.

  4. Navigate to “My Application” in the MCA portal.

  5. Click “Download PDF” to download the form PDF.

  6. Affix DSC on the PDF.

  7. Upload the signed PDF via the “Upload PDF” button.

Important: The filing status is confirmed only after successful DSC verification and payment confirmation. Additional (delay) fees may apply if payment is not made on the date of submission.


Edit Form Scenarios

Scenario 1 — User saved but did not submit the parent form

  • Only the parent form and the first section (before “Save”) are editable.
  • Linked form panels are not visible at this stage.
  • After clicking “Submit”, linked form panels become visible.

Scenario 2 — User submitted the parent form but needs to edit it

  • All applicable form panels are shown based on the last submission.
  • If any parent form details are changed and re-submitted, a complete blank Excel set is regenerated (with only previous year figures and web form pre-fills).
  • This is necessary because linked form field generation depends on parent form fields.

Warning pop-up: “Any updates/changes done in the form will lead to resetting of data in all the linked forms. Would you like to proceed?” — Click Yes only if you are sure.

Scenario 3 — User edits a linked form only

  • All applicable panels remain visible.
  • The modified linked form’s Excel is regenerated blank; all other linked form Excels retain last uploaded data.
  • Exception: If the Extract of Auditor’s Report (Standalone) is edited and re-submitted, the Extract of Board’s Report is also reset and must be re-submitted.
