Frequently Asked Questions (FAQs)

Q1. Is AGILE PRO S filing mandatory? Yes. AGILE PRO S must be filed along with SPICe+ Part B for all company incorporations. Even if you choose not to apply for GSTIN, you must still file the form (EPFO and ESIC registrations are automatically applied for all companies).

Q2. Can GST registration be obtained through AGILE PRO S? Yes, but only if the company’s correspondence address (as provided in SPICe+ Part B Field 4B) is the same as the registered office address. If different, GST registration must be separately applied for on the GST portal post-incorporation.

Q3. Can any bank be chosen for account opening? The form allows selection of a bank from the available options on the MCA portal. The bank account is opened based on the company’s registered office location.

Q4. What if the company is not located in Mumbai or Delhi? The Shops and Establishment Registration field will not appear at all. This registration must be obtained separately from the respective State Labour Department after incorporation.

Q5. Is profession tax registration available for all states? No. PTRC/PTEC registration through AGILE PRO S is currently available only for Karnataka, Maharashtra, and West Bengal. Companies in other states must register separately with their state tax authorities.

Q6. The director signing AGILE PRO S — must it be the same as SPICe+ Part B? Yes. The director signing AGILE PRO S must be the same person who has signed SPICe+ Part B. This is a key compliance checkpoint.

Summary

AGILE PRO S is one of the most powerful aspects of India’s company incorporation ecosystem — it allows a new company to obtain GSTIN, EPFO/ESIC numbers, professional tax registrations, open a bank account, and complete Shops and Establishment registration all in a single filing alongside incorporation. Company Secretaries and promoters should plan the registered office address carefully (to ensure GST applicability) and prepare all attachments — particularly the proof of principal place of business, photographs, and specimen signatures — well before initiating the SPICe+ process.
