Form IEPF-2: Complete Guide to Statement of Unclaimed/Unpaid Amounts and Nodal Officer Details
Form IEPF-2 is the web form filed by a company or bank to submit the annual statement of unclaimed and unpaid amounts, and to report the appointment or update of Nodal and Deputy Nodal Officer details. It is governed by Rules 5(8) and 7(2B) of the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016.
A company/bank with unclaimed or unpaid dividend amounts must transfer these to a designated account within 7 days of the expiry of 30 days from the date of dividend declaration. Investor claims are met from this account for up to 7 years from the transfer date, after which the balance is transferred to the IEPF. IEPF-2 is the annual statement of amounts held in this designated account (covering unpaid deposits, debentures, application money, interest thereon, preference share redemption amounts, fractional share sale proceeds from bonus issues/mergers/amalgamations, and Section 38(4) amounts) until the 7-year transfer period lapses.
Who Should File IEPF-2 / When is it Filed
Every company/bank with unclaimed or unpaid amounts held in its designated account must file the annual statement in IEPF-2, with investor-wise details attached, within 60 days calculated from the AGM date or its due date, whichever is earlier. A separate filing type of IEPF-2 is used for Nodal Officer/Deputy Nodal Officer appointment, update, or (for Deputy Nodal Officers) cessation, filed within 7 days of the Board resolution.
Important Checkpoints Before Filing
- Applicant must be registered as a Business User on the MCA portal
- The company/bank must be registered with MCA and hold a valid, approved CIN/BCIN
- The signing authority must hold a valid, non-expired, non-revoked DSC, registered on the MCA portal against the DIN/PAN/Membership number provided
- Signatories must hold an approved DIN or valid PAN/Membership number, associated with the company/bank under the selected designation
- The PAN of the authorised person must be mapped with the bank (for bank filings)
- The signing director’s DIN must not be flagged for disqualification
- Multiple IEPF-2 filings for the same financial year are not allowed for the ‘statement of unclaimed and unpaid amounts’ purpose, but are allowed for Nodal/Deputy Nodal Officer appointment/updation/cessation
- The same PAN cannot be entered for more than one Nodal/Deputy Nodal Officer (except for holding/subsidiary companies)
- The Nodal Officer must be a citizen and resident of India
- A Nodal/Deputy Nodal Officer of one company/bank cannot simultaneously hold that role in another (except holding/subsidiary companies)
- The same PAN cannot hold both the Nodal Officer and Deputy Nodal Officer designations simultaneously in the same company/bank
- For ‘Deputy Nodal Officer – Updation/Cessation’, the PAN must already be associated as Deputy Nodal Officer
- For ‘Nodal Officer – Updation’, the PAN entered must already be a valid, associated Nodal Officer
- A maximum of 5 Deputy Nodal Officers may be appointed per company/bank
- The total amounts in the financial-year table (field 9) must match the Excel attachment
- The financial year end date must be on or after 30 September 2011
- The proposed IEPF transfer date in the investor-wise Excel must be later than the AGM date/due date entered in field 5(b)

Statement of Unpaid/Unclaimed Amounts: event date is the AGM date/due date (field 5b), whichever is earlier; time limit 60 days. Nodal/Deputy Nodal Officer filing: event date is the date of the Board Resolution; time limit 7 days.
