Form DIR-9 is the web form filed by a company to report the disqualification of a director to the Registrar of Companies (RoC). It is governed by Section 164 of the Companies Act, 2013 and Rule 14(2) of the Companies (Appointment and Qualification of Directors) Rules, 2014.

Purpose: Where any of the disqualification grounds specified under Section 164 apply to a director, the company must inform the RoC of the disqualification by filing Form DIR-9.


When is DIR-9 Filed?

The company must report a director’s disqualification for reasons such as:

  • Being of unsound mind, as declared by a competent court
  • Being an undischarged insolvent, or having a pending insolvency application
  • Conviction for an offence (moral turpitude or otherwise) with imprisonment of 6 months or more, where 5 years have not elapsed since expiry of the sentence
  • An order disqualifying the director, passed by a court/Tribunal and still in force
  • Conviction under Section 188 (related party transactions) within the preceding 5 years
  • Failure to pay calls, non-compliance with Section 152(3) or Section 165(1), or failure to repay deposits/debentures/dividends within the prescribed timelines

Important Checkpoints Before Filing

  • Applicant must be registered as a Business User on the MCA portal
  • Company must be registered with MCA and have a valid CIN/FCRN
  • DSC of the signing authority must be valid, non-expired, non-revoked, and registered against the DIN/PAN/Membership number provided
  • Signatory must be associated with the CIN/FCRN of the company under the selected designation
  • The DIN entered must be an approved DIN
  • Webform must not be signed by a disqualified director, or by a Director/Manager/CS/CEO/CFO in respect of whom DIR-12/Form 32 is pending for payment/approval

Step-by-Step Filing Process

  1. Login to MCA portal → MCA Services → E-Filing → Company Forms Download
  2. Navigate to the header “DIN related filings”
  3. Access “Report by the company to Registrar for disqualification of Directors (Form No. DIR-9)”
  4. Enter CIN (auto-populated for company users; searchable for professionals; dropdown for other business users)
  5. Fill up the application
  6. Optionally save as draft (enabled once CIN is entered)
  7. Submit the webform and note the SRN
  8. Affix DSC
  9. Upload the DSC-affixed PDF on MCA portal
  10. Pay Fees (within 15 days of SRN generation for upload, and 7 days of upload for payment, or due date + 2 days, whichever is earlier)
  11. Receive acknowledgement

  • DIN must be valid; name, father’s name, and address are prefilled and non-editable based on DIN
  • “Position held by the Director in the last five years” — up to 500 characters

Processing Mode

Form DIR-9 is processed in STP mode — taken on record electronically without further processing. There is no provision for resubmission.
