Form 23ACA-XBRL is a legacy web form filed under the Companies Act, 1956, used by notified companies to file their profit and loss account and other documents in XBRL format with the Registrar of Companies. It is governed by Section 220 of the Companies Act, 1956 read with Rules 3 and 4 of the Companies (Filing of Documents and Forms in eXtensible Business Reporting Language) Rules, 2011.

Form 23AC-XBRL (balance sheet) and Form 23ACA-XBRL (profit and loss account) are notified as linked, companion forms. Form 23ACA-XBRL can be filed only after Form 23AC-XBRL has been submitted, and no separate fee, cover sheet filing, or SRN is generated for it.

Note: Form 23ACA-XBRL relates to the repealed Companies Act, 1956. It remains relevant only for historical/pending compliance under that Act; XBRL profit and loss filings under the current regime are made as part of Form AOC-4 XBRL under the Companies Act, 2013.


Who Should File Form 23ACA-XBRL / When is it Filed

Filing in XBRL format is compulsory for the same class of companies as Form 23AC-XBRL: all listed companies; all subsidiaries of listed companies; all companies with paid-up capital of ₹5 crore or above; all companies with turnover of ₹100 crore or above; and all companies that have already filed financials in XBRL mode for a financial year starting on or after 1 April 2011 — applicable only where the industry type selected is ‘Commercial and Industrial (C&I)’; voluntary/exempt for Banking, Insurance, Power, and NBFC companies. It must be filed immediately following submission of the linked Form 23AC-XBRL, within the same overall deadline as Form 23AC-XBRL.


Important Checkpoints Before Filing

  • Applicant must be registered as a Business User on the MCA portal; company must hold a valid CIN
  • The signing authority must hold a valid, non-expired, non-revoked DSC, registered against the DIN/PAN/Membership number provided
  • CIN entered must be the same as entered in the linked Form 23AC-XBRL
  • The ‘Period of profit and loss account – To date’ (field 3a) must match the ‘Date of balance sheet’ (field 3) entered in Form 23AC-XBRL
  • The option selected for ‘Whether consolidated profit and loss account is being filed’ (field 4) must match ‘Whether consolidated balance sheet is also being filed’ (field 8) in Form 23AC-XBRL
  • Second validation of Form 23ACA-XBRL is not allowed for the same financial year end date where 23ACA/23ACA-XBRL is already approved or pending, unless the earlier form was marked ‘Defective’
  • If any other annual filing webform (20B/21A/23AC/66) is validated but not filed, proceeding with this webform nullifies the other’s validation
  • The practicing professional certifying the form must not be debarred
  • CIN status must not be Strike Off, Amalgamated, Converted to LLP, Dormant, Dissolved, Liquidated, Not available for eFiling, Under process of Strike off, or Under Liquidation
  • The attached XBRL instance document(s) must be successfully validated by the MCA21 XBRL validation tool and belong to the filing company
  • The ‘Nature of Report – Standalone/Consolidated’ element must correspond correctly to the attachment option selected
  • The ‘Content of Report’ element in the attached instance document must be ‘Profit and Loss Statement’
  • The ‘Date of Start/End of Reporting Period’ elements in the attachment must match the period entered in field 3(a) of the webform
  • Form 23ACA-XBRL can be filed only after submission of Form 23AC-XBRL — no separate fee, cover sheet, or SRN is required

Step-by-Step Filing Process

  1. Ensure the linked Form 23AC-XBRL has already been submitted
  2. Convert the profit and loss account into XBRL format and validate it using the MCA21 XBRL validation tool
  3. Access the MCA homepage and login with valid credentials
  4. Select MCA Services → Company e-Filing → Companies Act 1956 Forms → Form-23ACA-XBRL
  5. Enter CIN information (must match the linked Form 23AC-XBRL) and fill up the application
  6. Attach the validated XBRL instance document(s)
  7. Save the webform as a draft (optional)
  8. Submit the webform and note the SRN
  9. Affix the DSC
  10. Upload the DSC-affixed PDF on MCA portal
  11. Receive acknowledgement

Signing Requirements

  • Digitally signed by an authorised signatory with a valid, non-expired, non-revoked DSC registered against their DIN/PAN/Membership number
  • Certification by a practicing Company Secretary, Chartered Accountant, or Cost Accountant, as applicable

Fee Structure
