Form 23AC-XBRL: Complete Guide to Filing Balance Sheet in XBRL Format
Form 23AC-XBRL is a legacy web form filed under the Companies Act, 1956, used by notified companies to file their balance sheet and other documents in XBRL format with the Registrar of Companies. It is governed by Section 220 of the Companies Act, 1956 read with Rules 3 and 4 of the Companies (Filing of Documents and Forms in eXtensible Business Reporting Language) Rules, 2011.
Form 23AC-XBRL (balance sheet, directors’ report, auditor’s report) and Form 23ACA-XBRL (profit and loss account) are notified as linked, companion forms.
Note: Form 23AC-XBRL relates to the repealed Companies Act, 1956. It remains relevant only for historical/pending compliance under that Act; XBRL filings under the current regime are made using Form AOC-4 XBRL under the Companies Act, 2013.
Who Should File Form 23AC-XBRL / When is it Filed
Filing in XBRL format is compulsory for: all listed companies; all subsidiaries of listed companies; all companies with paid-up capital of ₹5 crore or above; all companies with turnover of ₹100 crore or above; and all companies that have already filed their financials in XBRL mode for a financial year starting on or after 1 April 2011. This mandate applies only where the company selects ‘Commercial and Industrial (C&I)’ as its type of industry — filing is exempted and voluntary for Banking, Insurance, Power, and NBFC companies registered with RBI. Companies not mandatorily covered may still file voluntarily in XBRL format.
The form must be filed within 30 days from the AGM date (60 days for a Producer Company), or the calculated due date of the AGM, whichever is earlier.
Important Checkpoints Before Filing
- Applicant must be registered as a Business User on the MCA portal; company must hold a valid CIN
- The signing authority must hold a valid, non-expired, non-revoked DSC, registered against the DIN/PAN/Membership number provided
- Authorised capital as on the date of filing must be greater than zero for a listed company
- Second validation of Form 23AC-XBRL is not allowed for the same financial year end date where Form 23AC/23AC-XBRL is already approved or pending, unless the earlier form was marked ‘Defective’
- If any other annual filing webform (20B/21A/23AC/66) is validated but not filed, proceeding with this webform nullifies the other’s validation
- AGM date, due date of AGM, and extended due date must match those specified in webform 20B/21A/66 for the same financial year end date
- The practicing professional certifying the form must not be debarred
- CIN status must not be Strike Off, Amalgamated, Converted to LLP, Dormant, Dissolved, Liquidated, Not available for eFiling, Under process of Strike off, or Under Liquidation
- The attached XBRL instance document(s) must be successfully validated by the MCA21 XBRL validation tool and belong to the filing company (matching CIN)
- The ‘Nature of Report – Standalone/Consolidated’ element in the instance document must correspond correctly to the attachment option selected (standalone vs consolidated)
- The ‘Content of Report’ element in the attached instance document must be ‘Balance sheet’
- The ‘Date of End of Reporting Period’ element in the attachment must match the balance sheet date entered in field 3 of the webform
- No separate fee, SRN, or cover-sheet filing is required for the companion Form 23ACA-XBRL — the two forms are linked
Step-by-Step Filing Process
- Convert the balance sheet, profit and loss account, directors’ report, and auditor’s report into XBRL format by creating an XBRL instance document
- Validate the instance document using the MCA21 XBRL validation tool
- Access the MCA homepage and login with valid credentials
- Select MCA Services → Company e-Filing → Companies Act 1956 Forms → Form-23AC-XBRL
- Enter CIN information and fill up the application
- Attach the validated XBRL instance document(s)
- Save the webform as a draft (optional)
- Submit the webform and note the SRN
- Affix the DSC
- Upload the DSC-affixed PDF on MCA portal
- Pay Fees
- Receive acknowledgement

- Digitally signed by an authorised signatory with a valid, non-expired, non-revoked DSC registered against their DIN/PAN/Membership number
- Certification by a practicing Company Secretary, Chartered Accountant, or Cost Accountant, as applicable

Processing Mode
Form 23AC-XBRL is processed in STP mode — taken on record electronically without further processing. There is no provision for resubmission.
