What is Form CHG-6?

Form CHG-6 is the web form used to notify the Registrar of Companies (RoC) about the appointment or cessation of a receiver or manager of the property of a company. It is governed by Section 84(1) and Section 384 of the Companies Act, 2013 and Rule 9 of the Companies (Registration of Charges) Rules, 2014.

When a receiver or manager is appointed — either under the power of an instrument (such as a charge document) or by a court order — the person making the appointment must notify the RoC within 30 days of such appointment. Similarly, when the receiver or manager ceases to act, they must notify the RoC within 30 days of cessation.


Who Files CHG-6?

CHG-6 is filed by either:

  • The person appointing the receiver or manager — for notices of appointment
  • The person appointed as receiver or manager — for notices of cessation

Important Checkpoints Before Filing

  • Register as a Business User on MCA portal before filing
  • Company must have a valid and approved CIN or FCRN
  • DSC must be registered on MCA portal against the correct DIN/PAN/Membership number
  • Authorised signatories must have a valid PAN (DIN is not required for CHG-6 signatories)
  • DSC must be valid, non-expired, and non-revoked
  • For resubmission: T+15 days from ‘Resubmission Required’ marking must not have elapsed

Step-by-Step Filing Process

Option 1: Via MCA Services Menu

  1. Login to MCA portal
  2. Go to MCA Services → E-Filing → Company Forms Download
  3. Navigate to “Charge related filings”
  4. Access “Intimation of appointment / cessation of receiver / manager (CHG-6)”
  5. Enter Company Information
  6. Fill up the application
  7. Optionally save as draft (enabled after entering CIN)
  8. Submit the webform
  9. Note the SRN generated
  10. Affix DSC on the generated PDF
  11. Upload DSC-affixed PDF on MCA portal (within 15 days of SRN generation)
  12. Pay Fees within 7 days of successful PDF upload, or due date + 2 days, whichever is earlier
  13. Receive acknowledgement

Search for “CHG-6” on the MCA homepage and proceed from Step 3 above.


Resubmission Process

Option 1 — Via Dashboard:

  1. Login → Application History
  2. Select CHG-6 with status ‘Resubmission Required’
  3. Fill, submit, affix DSC, and upload within 15 days of BO marking resubmission

Field 1: CIN / FCRN

  • Company users: auto-populated
  • Professional users: searchable by company name
  • Other business users: dropdown of associated CINs
  • Must be a valid CIN or FCRN

Field 3(a): This Notice is Being Filed by

  • Person appointing receiver or manager — for appointment notices
  • Person appointed as receiver or manager — for cessation notices only (cannot file cessation notice if ‘Person appointing’ is selected)

Field 3(b): Type of Notice

  • Appointment or Cessation
  • ‘Cessation’ can only be selected if ‘Person appointed as receiver or manager’ is selected in Field 3(a)

Field 5: Date of Appointment

  • Mandatory only if ‘Appointment’ is selected in Field 3(b)
  • Must be ≥ date of incorporation (CIN) or date of establishment of place of business in India (FCRN)
  • Must be ≤ current date

Field 6: Date of Cessation

  • Mandatory only if ‘Cessation’ is selected in Field 3(b)
  • Must be ≥ date of incorporation (CIN) or establishment date (FCRN)
  • Must be ≤ current date

Field 7: Whether Appointment/Cessation is Pursuant to Court Order or Instrument

  • Pursuant to an order of the court → Field 8(b) becomes mandatory
  • Pursuant to any instrument → Field 8(c) becomes mandatory

Field 8(a): Number of Charges

  • Must be an integer > 1 and < 20

Field 8(b): Pursuant to Court Order

Required details for each charge ID:

  • Court reference
  • Date of court order
  • Charge ID
  • Whether appointment relates to whole property of company (Yes/No)
  • Whether appointment relates to income from whole property (Yes/No)

Field 8(c): Pursuant to Instrument

Required details for each charge ID:

  • Description of instrument
  • Date of instrument
  • Charge ID
  • Whether appointment relates to whole property (Yes/No)
  • Whether appointment relates to income from whole property (Yes/No)

Field 9(a): Number of Assets

  • Displayed and mandatory if ‘No’ is selected against “Appointment related to whole property” in section 8(b) or 8(c)
  • Must be an integer ≥ 1 and < 50

Unlike most charge forms, CHG-6 does not require professional certification by a CA/CMA/CS.

Frequently Asked Questions (FAQs)

Q1. Who is a “receiver or manager” in the context of CHG-6? A receiver or manager is a person appointed — either by a court order or under the power of a charge instrument — to manage or take possession of the charged property of a company, typically when the company defaults on its obligations to the charge holder.

Q2. What is the time limit to file CHG-6? The appointment or cessation must be notified to the RoC within 30 days of the event. Late filing attracts additional fees as per the delay fee table above.
