Form CHG-1 is the web form filed by a company with the concerned Registrar of Companies (RoC) for registration of creation or modification of charge (other than those related to debentures). It is governed by Sections 77, 78, and 79 of the Companies Act, 2013 and Rule 3(1) of the Companies (Registration of Charges) Rules, 2014.

It also covers particulars of modification of charge by an Asset Reconstruction Company (ARC) in terms of the SARFAESI Act, 2002.

What is a Charge? As per Section 2(16) of the Companies Act, 2013, a ‘charge’ means an interest or lien created on the property or assets of a company or any of its undertakings as security, and includes a mortgage. Every such charge must be registered with the RoC.

For Foreign Companies: The concerned ROC is always the Delhi ROC.


When is CHG-1 Filed?

CHG-1 is filed in the following situations:

  • Creation of a new charge — when a company creates a charge on its assets/property as security for a loan or borrowing
  • Modification of an existing charge — when the terms of an existing registered charge are altered
  • Charge on acquired property — when a company acquires property that is already subject to an existing charge, it must register particulars of that existing charge
  • Modification by ARC or Assignee — when a charge is modified in favour of an Asset Reconstruction Company or assignee under SARFAESI

Important Checkpoints Before Filing

  • Register as a Business User on MCA portal before filing
  • Company must have a valid and approved CIN or FCRN
  • DSC must be registered on MCA portal against the correct DIN/PAN/Membership number
  • Authorised signatories must have an approved DIN, valid PAN, or valid membership number
  • DSC must be valid, non-expired, and non-revoked
  • For resubmission: application must be available in Application History and T+15 days must not have elapsed (where T = date of ‘Resubmission Required’ marking)

Step-by-Step Filing Process

Option 1: Via MCA Services Menu

  1. Login to MCA portal
  2. Go to MCA Services → E-Filing → Company Forms Download
  3. Navigate to “Charge related filings”
  4. Access “Intimation of creation / modification of charge (other than debentures) — CHG-1”
  5. Enter Company Information (CIN auto-populated for company users; searchable for professionals)
  6. Fill up the application
  7. Optionally save as draft (enabled after entering CIN)
  8. Submit the webform
  9. Note the SRN generated
  10. Affix DSC on the generated PDF
  11. Upload DSC-affixed PDF on MCA portal (within 15 days of SRN generation)
  12. Pay Fees within 7 days of successful PDF upload, or due date + 2 days, whichever is earlier
  13. Receive acknowledgement

Search for “CHG-1” on the MCA homepage and proceed from Step 3 above.

SRN Cancellation: SRN is cancelled if the DSC-affixed PDF is not uploaded within 15 days of SRN generation, or payment is not completed within 7 days of upload.


Resubmission Process

Option 1 — Via Dashboard:

  1. Login → Application History
  2. Select CHG-1 with status ‘Resubmission Required’
  3. Fill, submit, affix DSC, and upload within 15 days of BO marking resubmission

Option 2 — Via Notification Email:

  1. Click the link in the resubmission email
  2. Login, fill, submit, affix DSC, and upload

Field-Level Instructions

Field 1: CIN / FCRN

  • Company users: auto-populated
  • Professional users: searchable by company name
  • Other business users: dropdown of associated CINs
  • Must be a valid CIN or FCRN

Field 3(a): Purpose of Form

  • Select: Creation of Charge / Modification of Charge

Field 3(b): Charge ID (for Modification only)

  • Mandatory when ‘Modification of charge’ is selected
  • Must be a valid Charge ID associated with the company’s CIN
  • Pre-filled by system if available; not editable

Field 4: Whether Applicant is Company or Charge Holder

  • If charge holder: filing is not permitted before 30 days from the date of creation/modification
  • Registration of charge is not permitted beyond 120 days from the date of creation/modification

Field 5(a): Date of Instrument

  • Must be ≥ date in Field 16 (date of last modification)
  • Must be ≤ current date
  • Charge holder cannot file before 30 days from this date
  • Filing not allowed beyond 120 days from this date

Field 7(a): Description of Property Charged

  • At least one option must be selected from the checkboxes to proceed

Field 8(c): Number of Charge Holders

  • If neither consortium nor joint charge: pre-filled as 1 (non-editable)
  • If both consortium and joint charge: must be > 1

Field 8: List of Charge Holders (if > 1)

  • Download Excel template, fill details, and import in .XLS format
  • Rank: Enabled only if charges rank pari passu; must be a positive integer ≤ number of charge holders
  • Extent on charge (%): Positive value > 0, up to 2 decimal places; total must not exceed 100%
  • Maximum Amount Secured: Sum across all charge holders must equal Field 10(a)

Field 9: CIN of Charge Holder (if applicable)

  • Must be valid and different from the company’s CIN in Field 1

Field 10(a): Maximum Amount Secured

  • Must be > 0
  • For modification: enter the amount after modification
  • Field 10(b) (amount in words) is auto-filled and non-editable

Field 11(a): Date of Security Interest by Deposit of Title Deeds

  • Must be ≤ current date

Field 12: Acquisition of Property Subject to Existing Charge

  • If any sub-field (12a to 12f) is filled, all remaining sub-fields become mandatory
  • Field 12(a): Date of instrument ≤ system date
  • Field 12(c): Date of acquisition ≥ date in Field 12(a); ≤ system date
  • Field 12(d): Charge ID must be valid and exist in MCA database
  • Field 12(e): Amount must be a positive integer > 0

Field 15(b)(i): CIN/LLPIN (Property not in Company’s Name)

  • Must be valid and different from Field 1 CIN
  • Field 15(b)(iii) name is pre-filled from master if CIN/LLPIN is provided

Field 16: Date of Last Modification (for Modification only)

  • Pre-filled from charge master if Charge ID is provided
  • Must be ≤ current date

Signing Requirements

Company Declaration

  • Signed by: Director / Manager / Company Secretary / CEO / CFO / IRP/RP/Liquidator (Indian company) or Authorised Representative (foreign company)
  • IRP/RP/Liquidator: only available if company status is ‘Under CIRP’ or ‘Under Liquidation’; only for Modification
  • Board resolution number and date must be entered; date must be ≥ incorporation date and ≤ system date

Charge Holder Declaration

  • PAN is mandatory (unless multilateral/international financial institution exempted from income tax)

ARC or Assignee Declaration

  • Mandatory if Field 6(a) indicates charge is modified in favour of ARC or assignee
  • Valid PAN required

Professional Certification

  • Mandatory for all companies except OPC and Small Companies (where it is optional)
  • Certified by: CA (WTP) / CMA (WTP) / CS (WTP)
  • CA/CMA: membership number; CS: Certificate of Practice number

CHG-1 has two processing modes depending on who signs the form:

Frequently Asked Questions (FAQs)

Q1. What is the time limit for registering a charge? A charge must be registered within 30 days of its creation or modification. Late filing is allowed up to 120 days with additional fees. Beyond 120 days, an application to the Regional Director via CHG-8 is required.

Q2. Can a charge holder file CHG-1 instead of the company? Yes, but only after 30 days from the date of creation/modification of charge have elapsed.

Q3. What happens if CHG-1 is processed in STP mode? The form is taken on record electronically without any manual review. There is no provision for resubmission in STP mode, so all details must be verified carefully before submission.

Q4. Is professional certification mandatory? It is mandatory for all companies except OPC and Small Companies, where it is optional.

Q5. What is an ad valorem fee? An ad valorem fee is a fee calculated as a percentage of the amount secured by the charge. It applies when filing is done beyond 30 days (up to 60 days) from the date of creation/modification of charge, in addition to the applicable multiple of the normal fee.

Q6. Can a company have multiple charges on the same asset? Yes, a company can have multiple charges on the same asset at the same time, provided the existing charge holder(s) give their consent.
