Form INC-6 is the webform filed with the Registrar of Companies (RoC) for conversion of a One Person Company (OPC) into a Private or Public company, or conversion of a Private company into an OPC. It is governed by Sections 18, 4 and 5 of the Companies Act, 2013 read with Rules 6 and 7 of the Companies (Incorporation) Rules, 2014.

Who Should File INC-6 / When is it Filed

  • A One Person Company voluntarily converting into a Private or Public company
  • A Private company applying for conversion into a One Person Company
  • Filed together with the eMOA and eAOA webforms as part of the same application

Important Checkpoints Before Filing

  • Read the instructions and guidelines carefully before filling the online application
  • Attach mandatory supporting documents in the specified format only
  • For resubmission: the application must be available in Application History and T+15 days (T = date marked ‘Resubmission Required’) must not have elapsed
  • The company must have a valid and approved CIN
  • DSC attached to the webform, eMOA, and eAOA must be registered on the MCA portal against the DIN/PAN/Membership number provided
  • Applicant must be registered as a Business User on the MCA portal before filing
  • The signing authority’s DSC must be valid, non-expired, and non-revoked
  • Form MGT-14 must have been filed and approved before filing INC-6
  • Authorised signatories must have an approved DIN or valid PAN or valid Membership number, as applicable
  • No other INC-6 form should be pending for approval against the same CIN
  • Additional information that does not fit within a field can be provided as an optional attachment

Step-by-Step Filing Process

Option 1 — Via MCA Services Menu

  1. Access the MCA homepage and log in with valid credentials
  2. Select MCA Services → E-Filing → Company Forms Download
  3. Navigate to the header “Change in type from / to OPC (INC-6)”
  4. Access “One Person Company and Private Company - Application for Conversion”
  5. Enter Company Information (CIN auto-populated / searchable / dropdown depending on user type)
  6. Fill up the application, eMOA, and eAOA webforms
  7. Save the webform(s) as a draft (optional)
  8. Submit the webform(s)
  9. Note the SRN generated
  10. Affix the DSC
  11. Upload the DSC-affixed PDF on the MCA portal
  12. Pay Fees — if the DSC-affixed PDF is not uploaded within 15 days of SRN generation, and payment not completed within 7 days of successful upload or the due date of filing + 2 days, whichever is earlier, the SRN will be cancelled
  13. Receive the acknowledgement

Search for “INC-6” on the MCA homepage and proceed from Company Information entry as in Option 1.

Resubmission Process

Option 1 — Via Dashboard:

  1. Login → Application History
  2. Select the INC-6 application with status ‘Resubmission Required’
  3. Fill up the application, save as draft (optional), and submit
  4. SRN is updated → affix DSC → upload the DSC-affixed PDF on MCA portal within 15 days of the BO marking resubmission (an SMS/email reminder is sent daily for 15 days or until submitted, whichever is earlier)
  5. Receive acknowledgement

Option 2 — Via Notification Email:

  1. Click the link in the resubmission notification email
  2. Login, fill up the application, save as draft (optional), submit, affix DSC, and upload the DSC-affixed PDF within the same 15-day window

Field-Level Instructions

Field 3(g) / Total Paid-up Share Capital

  • Category, sub-category, and share-capital fields are pre-filled from the company master against the CIN and are non-editable
  • For conversion of OPC to Private company or Private company to OPC, the paid-up share capital must be equal to or greater than ₹2
  • For conversion of OPC to Public company, the paid-up share capital must be equal to or greater than ₹7

Field 5: Existing Number of Directors

  • Pre-filled based on directors associated with the CIN as on system date; not editable
  • Minimum 2 directors required for conversion into a Private company; minimum 3 directors for conversion into a Public company

Field 6(a): SRN of Form MGT-14

  • Must be a valid SRN associated with the company’s CIN — confirming the special resolution for conversion has already been filed and approved

Field 7(II): Number of Members (Companies Without Share Capital)

  • Maximum number of members must be at least 2 for conversion into a Private company and at least 7 for conversion into a Public company
  • For private company conversion, the number cannot exceed 200 members (excluding proposed employees)

Fields 8 & 10: Particulars of Sole Member and Nominee (Post-Conversion)

  • A valid DIN must be provided; if DIN is not available, PAN, identity proof, and residential proof become mandatory instead
  • The nominee’s name fields must match the member’s name fields if both are separately entered
  • PAN of the member and nominee must be unique and must not match each other

Field 12A: List of Creditors and Members (Private Company → OPC)

  • Mandatory only where “Conversion of Private company into OPC” is selected
  • Requires a list of creditors (name, address, amount due, nature of debt) and a list of members (name, address), enterable via the webform grid or by importing an Excel template

Additional (Delay) Fee

The event date for computing delay is the date of passing the special resolution (as entered in Field 6(b)), and the time limit for filing is 30 days from that date.

Frequently Asked Questions (FAQs)

Q1. Is MGT-14 mandatory before filing INC-6? Yes. Form MGT-14 for the special resolution approving the conversion must be filed and approved before INC-6 can be filed, and its SRN must be quoted in Field 6(a).

Q2. What is the minimum paid-up capital for conversion of an OPC into a Public company? The paid-up share capital must be equal to or greater than ₹7, along with a minimum of 7 members and 3 directors.

Q3. Is INC-6 processed automatically (STP)? No. INC-6 is processed in Non-STP mode, meaning every application is reviewed manually by the Registrar before disposal, and resubmission may be sought.

Q4. What is required for a Private company converting into an OPC? Besides the standard fields, the applicant must submit a list of creditors with their NOCs and a list of members along with an affidavit confirming all members have consented to the conversion.

Q5. Can INC-6 be resubmitted if marked “Resubmission Required”? Yes. The application must be resubmitted within 15 days of the date the back-office user marks it for resubmission, either through the Application History dashboard or the link in the resubmission notification email.

Q6. Is professional certification required for INC-6? No. The Instruction Kit does not require a separate CA/CS/CMA certification — only digital signing by an authorised director/officer and, in the case of OPC conversion, by the member.
