Form MGT-15 is the web form filed with the Registrar of Companies to submit a report on the company’s Annual General Meeting (AGM). It is governed by Section 121(1) of the Companies Act, 2013 read with Rule 31(2) of the Companies (Management and Administration) Rules, 2014.


Who Should File MGT-15 / When is it Filed

Every listed public company must prepare a report on each AGM, confirming that the meeting was convened, held, and conducted in accordance with the Act and the rules made thereunder, and file it in Form MGT-15 within 30 days of the conclusion of the AGM.


Important Checkpoints Before Filing

  • Applicant must be registered on the MCA portal before filing
  • The company must be registered with MCA and hold a valid CIN
  • Signatories must hold an approved DIN or valid PAN or Membership number
  • The date of AGM entered must match the date already specified in other approved annual filings (AOC-4/AOC-4 XBRL/AOC-4 NBFC/MGT-7) for the same financial year end date
  • The DSC attached must be registered on the MCA portal against the DIN/PAN/Membership number provided
  • The signing authority must hold a valid, non-expired, non-revoked DSC
  • No other MGT-15 should already be filed with the same AGM date and financial year (and not marked ‘Defective’)
  • Where the company is Under CIRP or Under Liquidation, only the IRP/RP/Liquidator may sign
  • If field space is insufficient, additional details may be furnished as an optional attachment

Step-by-Step Filing Process

  1. Login to MCA portal → MCA Services → Company e-Filing → Annual Filings
  2. Access “Form No. MGT-15 (Form for filing Report on Annual General Meeting)”
  3. Enter/search/select CIN
  4. Fill up the application with the AGM report details, matching the AGM date used in other annual filings
  5. Optionally save as draft
  6. Submit the webform and note the SRN
  7. Affix DSC
  8. Upload the DSC-affixed PDF on MCA portal within 15 days of SRN generation
  9. Pay Fees within 7 days of successful upload (or due date + 2 days, whichever is earlier — otherwise the SRN is cancelled)
  10. Receive acknowledgement

  • Digitally signed by an authorised signatory with an approved DIN or valid PAN/Membership number
  • Where the company is Under CIRP/Under Liquidation, only the IRP/RP/Liquidator may sign

Processing Mode

Form MGT-15 is processed in STP mode — taken on record electronically without further processing. There is no provision for resubmission.
